Domain Purchase Agreement Terms of Service
1. Definitions
- Company: Nineprimes Pty Ltd, also referred to as the "Seller" in this Agreement.
- Buyer: Any individual, entity, or association entering into an agreement to purchase domain(s) from the Company.
2. General Terms
- All prices are exclusive of Goods and Services Tax (GST), which will be applied to Australian purchases as required by law.
- This Agreement governs the sale of domains directly from the Company to the Buyer, ensuring a direct purchasing pathway without third-party involvement.
3. Seller's Representations and Obligations
- The Company confirms it is the lawful owner and has the right to sell the domains listed on its platform.
- The Company ensures that all domains for sale are free from legal disputes or claims that could affect their transferability.
- All domain listings will provide comprehensive and accurate information regarding the domain's characteristics and registration status.
4. Buyer's Obligations
- Buyers must conduct their own due diligence on the domain's history and registration details.
- Payments must be made in full and within the stipulated time frame as agreed upon in the sale.
- Australian domains can only be purchased by Australian residents who must adhere to auDA Domain Registration Policy.
- The Buyer accepts all responsibilities for any non-compliance with auDA Domain Registration Policies.
5. Role of the Company as Seller
- The Company facilitates the transaction platform and directly sells the domains listed, providing a streamlined process for viewing and purchasing.
- The Company reserves the right to modify or discontinue any listing at its discretion.
6. Dispute Resolution
Disputes will be resolved through mediation or arbitration in accordance with Australian law, with the Company facilitating but not directly resolving the disputes.
7. Liability and Warranty Disclaimer
- The Company makes no warranties regarding the domains sold, including their performance, suitability for a specific purpose, or future usability.
- The Company disclaims all warranties, express or implied, to the fullest extent permitted by law.
- The Buyer agrees to indemnify the Company against any losses arising from the purchase and use of the domain.
8. Termination and Cancellation
- The Company reserves the right to terminate any transaction if the Buyer breaches any terms of this Agreement, with appropriate notice as required under Australian law.
- Buyers may cancel transactions under certain conditions specified in this Agreement, particularly if the domain does not meet the specifications agreed upon.
9. Miscellaneous Provisions
- This Agreement is governed by the laws of Australia, and any modifications to this Agreement must be made in writing and agreed upon by both parties.
- The Company reserves the right to amend terms and policies associated with the domain sale process at any time.
